Who can create an Energia account?

To view the available offerings on the Energia platform, investors must confirm their accredited investor status as defined by the Securities and Exchange Commission. To qualify, investors must meet one of the SEC’s criteria regarding income, net worth excluding primary residence, and Series license holder status.

What is Energia?

Energia is an energy FinTech company that provides investors with exclusive access to private market energy investments sponsored by top-tier investment firms. Energia investors enjoy the inflation-hedge benefits of owning asset-level oil and gas projects, solar farms, battery storage projects, and more.

Energia investors can track the performance of their investments in the Portfolio Dashboard page.

How do I link my bank account to the Energia platform?

Using Plaid, investors can link their bank account to the Energia platform to fund investments and receive monthly net distributions. After you create an Energia account and log in, choose a desired checking account or savings account that you want to use, and go to your Account Settings page. Then, scroll to the Payments Methods section and click the Continue button to connect your bank account via Energia’s integration with Plaid.

How do I verify my identity during the account creation process?

Energia needs to verify your identity in accordance with federal regulations aimed at preventing illegal activities and fraud. Acceptable forms of identification include:

State-issued ID such as driver’s license or ID card
Passport

Pictures of the above forms of ID can be uploaded in the user settings page.

Energia utilizes a third-party FinTech platform by North Capital to verify KYC, AML, and accredited investor status.

What documents do I need to provide to verify my accreditation status?

For compliance reasons, Energia is required to verify investor identification to comply with know your customer (KYC) and anti-money laundering (AML) regulation as well as meet the definition of an accredited investor as defined by SEC Rule 501 of Regulation D. In order to be considered an accredited investor, you must meet one of the following criteria (for more information, please visit the SEC website):

You have an individual income of over $200,000 ($300,000 with spouse or partner) in each of the prior two years, and reasonably expect the same for the current year. To prove accreditation status via income, you will be asked to provide the following documents prior to investing:

W-2
1040
K-1
1099

You have a net worth exceeding $1 million, excluding primary residence (individually or with spouse or partner). To prove accreditation status via net worth, you will be asked to provide the following documents prior to investing:

Assets:

Statements from banks, brokerage firms including IRA or 401(k) statements, or retirement accounts dated within the last three months
Statements displaying the value of cryptocurrency holdings dated within the last three months
Proof of ownership for investment properties, including deeds, tax bills, and mortgages, and fair market valuations or appraisals
Proof of business ownership via operating agreement, tax returns, or fair market valuation

Liabilities:

Recent credit report issued within the last three months

You have a Series 7, 65, or 82 license holder. To prove accreditation status via Series license, you will be asked to provide the following information prior to investing:

CRD number

Energia utilizes a third-party FinTech platform by North Capital to verify KYC, AML, and accredited investor status.

Investing with Energia

When can I exit my investment?

Investments through Energia are illiquid and designed to allow investors to hold their investments until the underlying assets fully deplete which may take up to 30 years or more to occur. There is no guarantee that you will be able to exit your investments via Secondary Market.

What risks are associated with an Energia investment?

An investment in an Energia Fund involves significant risks and is suitable only for persons who can bear the economic risk of the loss of their entire investment, who have a limited need for liquidity in their investment and who meet the conditions set forth in each Fund’s Private Placement Memorandum. There can be no assurance that the Fund will achieve its investment objective. Each prospective Investor should carefully review each offering’s Private Placement Memorandum before deciding to invest in a Fund. Refer to the RISK FACTORS section of each Fund’s Private Placement Memorandum for more information.

What happens if an investment opportunity reaches its funding goal before I invest?

Energia’s target raise for each fund may fluctuate prior to the fund close. We will accept investors for each fund in the order that we’ve received investment elections. Investors that we are not able to accommodate will be notified by email with any invested capital returned to the same bank account used during funding.

Are there any fees associated with making an investment on Energia?

Energia displays all fees on each offering page and the corresponding investor memorandum which is downloadable by all prospective investors. Underwriting return metrics are always stated net of fees unless otherwise stated. Review all fees in detail via each offering’s investor memorandum prior to investing on Energia.

How are returns distributed to investors?

Energia investors may receive monthly distributions from a fund’s net cash flows directly to their linked bank account. Payment notifications will be provided to you by email.

What payment methods are accepted for investments on Energia?

Energia uses Plaid which allows investors to link their bank account to the Energia platform to fund investments and receive monthly net distributions. Plaid allows users to link bank accounts from over 11,000 financial institutions.

Is there a minimum amount required for investments on Energia?

There is a minimum investment amount for all Energia investments that may vary from offering to offering. The minimum investment amount for each offering can be viewed after logging in to the Energia platform.

How do I initiate an investment on Energia?

To initiate an investment on the Energia platform, log-in to your account, select an available offering, and click the Invest button located at the top of the screen. You will need to complete the following steps to complete your investment:

Specify your investment amount
Complete a personalized investment questionnaire
Submit your ID
Confirm your information including contact information, date of birth, and social security number
Connect your bank account
Verify accreditation status
Review and sign subscription documents

What is Multiple on Invested Capital

MOIC, or Multiple on Invested Capital, is a financial metric used to measure the return on investment in nominal dollars. MOIC represents the ratio of the total amount of money returned from an investment to the initial amount of capital invested. In other words, it indicates how many times the initial investment has been returns. For example, a MOIC of 2 means the investment has doubled in nominal dollar terms.

What is IRR?

IRR, or Internal Rate of Return, is a financial metric used to evaluate the potential profitability of an investment. It represents the discount rate at which the net present value (NPV) of future cash flows from an investment becomes zero. In simpler terms, IRR is the annualized percentage return an investor can expect to earn from an investment over its holding period, assuming reinvestment of cash flows at the same rate. It helps investors compare different projects or investments to determine which one offers the highest potential return.

What type of investments are available on the Energia platform?

Plaid: Used for connecting your bank account, Plaid enables you to input your bank login information securely. We never store or see your bank login information.
North Capital: North Capital receives the information required to verify you as an accredited investor. This data is fully encrypted using HTTPS while transferring between platforms.
